The following in the Report of the Board of Directors to the ordinary half-yearly meeting of shareholders to be bold at tho office of the Company, on Tuesday, February 8, at 12 o'clock, noon.

The Directors beg to submit to the shareholders the Roport and Statement of Accounts-for-the half-year ending December 31

last.

After paying running expenses, salarios, promnia of insurance, repairs and all other charges, thero romains, including $24, 428.30 brought forward from last nooount, and $40,000 trang- ferred from the Doprociation Find for the purpose of writing | down the book value of the aleamers, the sum of $152,031.44| at Credit of Profit and Loss Account. From this amount the Directors recommend

that a Dividend for the half-your of One Dollar per share or $80,000 bo-paid-to-shareholders, $25,000. be written off the book value of steamgra, $10,000 ho written off value of wharvesand properties And lighters, $35,000 be trans- ferred to credit of Special Repairs Fund, leaving a balance of $22,- 031.44 to be carried forward to Now account.

The disabled steamer was towed into port by the Company's steamer Sui An and, as Wo had a now.apare shaft in readiness, the repairs were offected without any delay. The total cost will como to about $20,000, which will be a claim against the an. derwriters.
