EXTRADITION PROCEEDINGS AT THE MLGISTRACY

24th inst

Before the Chief Justice, Sir Francis Piggott, Before Mr E. R. Hallifox at the Magistracy at the Bankruptcy Court this morning, attir afteroon, extradition, proceedings were debtor's petition was heard in concection with commenced against a Chinese for alleged the latter's bankruptcy. Mr. P. S. Dixos ap kidnapplag coizinleted in Chiosjurisdiction peared on behalf of debtor.

Me by L. Dennys, St., from the Drown Solich tor's office, prosecuted. Prisacer was defended.

Mr. Dixon stated that the astets amounted to $1,300 and the liabilities to $1,421,77,

From the petition read to the Court, it ap. peared that the Company was lodebted to one Wo Yau Chi in the sum of Tis. 50,000. The mortgages had advertised the sale of the pro- perty by public auction with the indebtedness of the Company. There were also other cre diten pressing for payment and attempting to obtain judgment. The applicants prayed that the Company by wound up under the Hongkong Orfisance. „Counsel understood from the petition that several actions had' been brought against the Company but execu- tion of the judgment was stayed in ovary case panding the hearing of that application. Mr. Norman Thomson had been appointed officiated himself in South Africa. Like all mansory note which was probably bad. Bquidator.

His Lordship-How was he appointed official figaldator?

Mr. Alabaster-In an action ptodlog in Shanghal.

Proceding, Mr. Alabaster stated there was also an order by his Lordship oppolating Mr. Norman Thomion provisional liquidator.

Als Lordships that my order? Mr. Alabaster-Yes, my Lord, it bears your Initials.

His Lordship--I indicated in Clambers the difficulties of this case. I believe I'm right in saying that this is the first Shanghat company to be wound up.

Mr. Alabaster-There's the Tug and Lighter Company,

His Lordship-In that case they applied for "s reduction of capital, The Company wan't

wound up.

Continuing, His Lordship said that there was

nothing in the Hongkong Ordinance which provided for the registration of a Shanghai Company in the Colony,

M. Alabaster-That that is not so is proved by the mere fact of their being allowed to kisp local registers to Shanghai although they are registered here.

His Lordship-They are not authorized to da so by the Registrar of Companies'

Mr. Alabaster-Several years ago, there was A great deal of trouble in connection with

Shanghai companies registered bere when the

question of transferring shares cropped up.

At this point, cortain docoments were pro- duced fur inspection by the Court.”

His Lordship The papers show recognition

but not authorization of the act.

Proceeding, his Lordship stated that it was A very important matter. He had very grave donbir whether the Company could be register ed in Hongkong. The business carried on may be abroad but the carrying of the buslaess must be in the Colony, In that case there was onlya vominal registered office of the Company, Mr. Alabaster-There's a notice-bard I understand the practice is for solicitors' offices to be regarded as the registered offices of the companies.

His Lordship stated that he did not wish to upsst or disturb the existing practice but the difficuity was if he passed the petition, which was for the winding-up of a Shanghai company for the fint time, without raylog something, it would be assumed that the Court regarded the matter as being right. He had gravo doubts whether the company could be registered ·hera at all: It was perfectly clear that that Court bad ne jurisdiction at all. There was not only the theoretical difficulty as to whether the Com pany could be registered under the Ordinance but there was also the practical difficulty as to the question of jurisdiction—if it could ba.car rled out. There were heaps of cases which de- ponded on the Act self. How could be enter jain such an application when the Directora were la Shanghai and the business was carried on in Shanghai Tee Shanghai Court had po Jurisdiction under the Act because the Act did not extend to it.

At this point, bis Lordship sought tha milit. auce of the Attorney-General on the subject, That official, being present in Court, bity outllard iba objects of the Act and said that the new Consildailon Bill was now before the a glalatira Council and the matter was being fully Considered, Shanghai companies would be made amenable to the rame penalties as those registered in the Colony,

Afis Lordship-Then this case is most
