graph 6 mentioned the number of shares open to the public. On the liability side was the entry "unallotted perference shares, 295 and 505 unallotted ordinary shares," so that after a whole

year's working there were more 'upallotted shares. There were 8oz unallotted shares when there should have been 675. The additional shares inken up were 215 ordinary and, 450 preference. Paragraph 10 of the prospectus could be traced in the "Schedule books" which contained particulars of cash in hand, cash in the Back, bad debts and unfinished work. The item "Batu Gajah Tin Mining Coy," was under heading of unfinished work, The amount was $6,500. That amount had never been-charged-up-A-certain-amount-of- work, this meant, had been executed on, the date but was unfinished. The only inference was that it had never been charged for. As an asset the work would have to be in a stage acar- ing completion so ibat it could be finished and charged for. It was not justifiable to include

it unless it had reached a certain stage near completion. There was in the schedule book a entry "B. G. Tip Mining Cay. '$6,500,' which could be further traced in the ledger, (page 149) which contained the entry "Up. faished work Say,800.16.” The balance sheet was made up from the schedule. The formation of the new Coy took place Dee, Rurnished, as Offices or Chambers. 3151, 1903. To the credit of the trade account was the sum 167,953.89 and to this had to be added $11 for transfer fees. The total deduc- tionis came to $62,544.47. This left a balance of profit from May 31 to Dec. 31, 1903., No dividend could have been paid out of $432,42° this as depreciation was not allowed for. "Land and Buildings "in the Journal of the old firm was put at $39.491.51. The plant in the new value was put at $60,340 and previously $38,735. There was an increase of $21,604 85 in this item.

At another stage of the examination of the witness, Mr. Elliot suggested that the Deputy Public Prosecutor was putting words into the
