Sir William Young, Bart, formerly of the Indian Civil Service, was the chief witness. His story was that while home on furlough in 1894, in answer to an advertisement for a secre- tary and director, he came in contact with Bailey, who for four months passed in the name of Floyd. He learned the secret from Steingk. "Flayd told him that if appointed he would have to pay £500, and would get 7 per cent. on net profits, with a minimum of foo and a maximum of £1,000.. He declined to pay, but was nevertheless appointed.

For the next three months, said Sir William, he regularly attended the office. had nothing to do, and get no payment. He knew nothing of the prospectus Mr. Muir now showed him, which was in the names of Sir William Young and Thomas Floyd and Co. When he asked "Floyd" why he had not been invited to meet- Ings which were held, "Floyd" told him they were meetings of the syndicate and had nothing to do with the company.

"Yet," said Mr. Muir, "according to the prospectus you were the trustee ?"

Sir William replied that he was 'asked to join with Lord Monntmorres and Captain Ivory. He first saw a prospectus of the Western Australian Development Corporation at the end of 1894. According to that he was one of the trustees, and he thought he give his consent. The solicitor was Mr. Palmer, and the secretary appeared as Mr. J. D. Walker, who had paid for his appointment. Bailey said in explanation that the ship was not good enough for him, and that he secretary. would like him to be a director. There were no directors, but he (Bailey) and De Stedingk sometimes met casually and discussed the affairs of the company.

Sir William made a point of the fact that he took no part in the management of the com. pany. The prospectus spoke of mining experts as engaged. They were "about to engage" Captain Ivory, who was supposed to know a lot about mining. He knew Bailey as a civil engineer. De Stedingk used to talk about his mining in South Africa. They had a clerk, named Dennis, who was introduced to him as Mr. Hurd. Bailey discharged him because he wanted to know too much.

He was not aware, added the baronet, that he himself was described in a prospectus as debenture bolders' trustee.

So far as he knew, the corporation never owned anything. He presided at a meet- ing of the company at Westminster Palace Hotel, and read a speech from notes supplied to him by Bailey just before. In it he said the corporation was in a position to pay 100 per cent, dividend..

He himself had paid soo for shares. had never had any experience of mining. He did not know what estate it was he referred to that had "increased to the extent of 300 per cent." At another meeting be proposed, prompted by Bailey, that the company should be wound up and another formed, with the same name, with a capital of £50,000.

Sir William gave two more interesting items. Once at De Stedingk's house Mrs. De Stedingk said to Bailey: It was different when you used to bring the books here and cook the accounts." De Stedingk said: "I don't know what you mean. We only used to make corrections in the ledger," to which his wife said: "You may call it what you like, but I call it cooking."

"Allow me to say," he interposed, in cross- examination, "that a Government Department is not conducted on the same lines as Mr. Bailey's office."

"The brains that conceive and carry on great industrial deals have made the United States the foremost nation in the world to-day, so far as manufacturing is concerned. Time was when little charcoal iron furnaces manufactured all the iron in the country, and millions of dollars were exported to England to pay for rails at $180 a ton. Can it be said that the tre mendous expansion of the iron industry which has resulted in a fall in the celling price of rails to $6 a ton, and which makes it possible for Mr. Carnegie to produce three pounds of pro- duct for two cents, has Injured the nation? If the little furnaces have been wiped out, it to also true that tons of thousands of miles of tall- reads have been built, and sections of country fumishing homes to millions of people opened for settlement. So in almost every line of in- dustry, the tendency has been to enhance the wealth of the nation. The men who have help. ed to create this condition may or may not have retained too much prot for themselves. There are two ways of lacking at that. If the wealth of the country stood still while these men alone grow rich there might be cause for alarm but they cannot add to their own wealth without making the mass of citizens in general weal thier, and it is useless to deny that but for these samp men, or other possessing equal business genius the country would not have made the marvellous gains that really have occurred

Gross injustice may have resulted in the fierce struggle for supre macy but in the abstract the mass of people have participated in the benefits, and have auf- fered little, if any, from the evils. The day may come when it will be necessary to restrain the growth of power, but legislation which sets alimit to the xowards genius, if violated,
