Matheson & Co, and we segret they do not see their way to accede to your suggestion. We will therefore mention the polets that are out- standing for your further consideration.
In the first place we notice that your ellents enter into the agreement for and on behalf of the Shanghai Chamber of Commerce. It must be clearly understood that our clients have not to look to the Chamber of Commerce for payment, but that Messrs Matheson & Co., are monally reponsible, as that, so far as the Engineers are concerned, is the main object of the agreement. With regard to clause 1, Mr. Matthews is un- able to bind himself to do more than to proceed to Shanghai within 18 months of the date of the agreement unless he gets a certificate under clause g that he is not in a fit state to undertake the wok. Aramatter of fact March, 1897, would be the most convenient time for him to go, and one which having regard to the state of the climate would be most sailable, but he has very important work in hand in this country which he cannot possibly neglect, so bat some latitude must be given to him as to the time wiiblu which
