The Secretary read the notice of meeting:- The Chairman ald:-Gentlemen, our chair- man, Mr. Holliday, bay, I regret to say, had suddenly to leave for Shangbal en urgent business, and I have been naked by my colleagues to take the chair. This meeting, as you all know, has been convened for the purpose of laying before you the proposal mide by tha Board to alter our present Articles of Associa tion. A circular embodying all the material changes was issued on the 27th January last, so a to give time to shareholders in distant coun- tales to consider them and express their views thereou. With the exception of some observa. tions that have been made to as by one or two shareholders regarding the clauses relating to Investments and the limitation of risks, to which I will refer in the couns fmfy remaiks, I am glad to say that the proposed changes seem to have met with general approval. The Articles pamed in the circular base for the sake of con- venience been placed la the order of their num bera, but the principal and malo reason for pro posing any alteration is given in the very first paragraph of the circular, namely that relating to the division of our profits. I will therefore allude to that first, and refer to the others after- wards, "The Board has for some ilma past felt that while on the one hand the hard-and- fast rule of distributing 23rd of the profits to contributing shareholders has tended to attract a certain amourt of business, it has on the other band produced keen competition and reduction of rates by offices who have either given less bonus or co bonus at all contributors and have sought to make up lorit by offering lower neit ratek Our fixed rule has also produced some disappointment 'ameng sbarchilders In regard to the dividend which it has been possible to give them under that method of division. Alter considering the pros and cons, the Board came to the conclusion that it would be advant-
ageous to the Society to divide ite profits according the circumstances of each year subject, of course, to the approval of the share holders in meeting, and they had also the further reason before them that the Reserve Fund is approaching the limit fixed by the Articles after which no provision is made for adding anything to it. Although it may set be necessary to add any considerable sum eich year! after the Reserve
