In this case also the Bank appealed to the Appeal Court of Manila, and judgment was granted against the Bank on the 28th June, 1887. The Bank again appealed to the Supreme Court of Justice in Madrid, but the Court of Manila refuerd leave for appeal, unless the Bank fulfilled the necessary requisites for their legal constitution in Manila, according to the Spanish Code of Commerce.

A new application for appeal was made against this last resolution and the Supreme Court of Justice of Madrid, on the 21st October last, finally decided that the appeal cannot be proceded with, confirming the judgment of the Courts below,

The Epoca of Madrid has referred to this inst judgment, to which the Standard makes refer- ence, and which you mentioned in your letter of the 17th November ulto,

There is now pending before the Supreme Cont of Justice in Madrid a third appeal, which only refers to a complaint against the judge of Manila, on the ground that he has not strictly adhered to the law of procedure in another point, quite eutside the previous one, which refers only to the illegal constitution of the Bank.

(c) That the Deed of Settlement by his Article 15 states that The Company shall not carry on or engage in any business prohibited by the said Ordinance nor in any case trnsgress or exceed the provisions, restrictions, or limitations of the Ordinance as to the nature and extent of the business of the Company and the manner in which it is to be carried on,

(d) That there is no other Ordinance extend- ing, or modifying what has been hereinbefore mentioned.

(e) That on the 30th January, 1888, the representative of your own Bank signed n Government of Madrid, petition to the declaring that it was ill gally constituted, and asking to be allowed to transact business in the Phstppine Islands under such conditions, and

But the appeal now pending has been already stayed in consequence of a plea that the Court had finally declared that the Bank has no legal standing In Manila, according to the said judg-the petition was refused by the Spanish Govern- ment of the 21st October, 1889, and the solicitorment on the 13th May, 8 8. of the Bank cannot therefore enforce the appeal unless the Bank has fully submitted to the law of the country.

With this full explanation of the matter you will see if you can confidently expect a decision in your favor even in the insignificant appeal now pending.

I have only mentioned up to the present the litigation instituted by the Bank, and it is right that I should also state, although very sum- marily, the other actions brought against them.

There is one claiming 815,000 dollars for capital damage and losses sustained, which the Bank have been cordemned to pay by the definite judgment of the 13th October, 1883, and in this case the judge ordered the provisional embargo of 328,ecodollars, capital already fixed, exclusive of all losses, and damages, which should be assessed. The order was granted "considering that it is proved in the proceedings bythe petition of the pretended agent of the Bank and by the documents which have been produced":"

1st."That the said Agency has not con- stituted itself according to the provisions of the Spanish Commercial Code. and although the Bank established in Hong-Kong, on which the Agency pretends to depend, is legally established there, they are bound to submit themselves to the Spanish laws, according to the decision already granted in the bankruptcy proceedings.

and.That the said Corporation is forbidden by its Deed of Settlement and by a special order from the English Government from establishing any agencies, branches or otherwise in the Philippine Islands, and that the said establishment now banking in Manila does not offer ample security of stability or solvency, and under such circumstances there are sufficient · grounds for ordering the provisional embargo of their property for the amount of their undoubted liability according to Article 1382 of the Law of Civil procedure."

The Bank has not objected to this order in the

·legal form fixed by the said law, and the judge was, therefore, obliged to refuse leave for the appeal which your lawyers proposed so argli- gently, but which you still confidently, expect will be successful.

"Assuming, as we understand to be the case that the power to carry on business depends on paragraph IV of the Ordinance of Incorporation and the Deed of Seulement, we are of opinion that the Corporation cannat legally carry on business at Manila by a Branch or Agency there
