The following is the report for presentation to the shareholders at the first ordinary general meeting to be held at the office of the Company 9, Praya Central, on Saturday, the 22nd day of March, 1890, at 3 p.m. -

I have now to submit to shareholders the annexed annual statement of accounts of the Company, to 31st December, 1889, showing a profit of $6,230.25 from which has to be deduct ed the interim dividend of 5 per cent declared in August last amounting to $3,218 33 leaving a balance of $3010.93 at credit of Working Account. It is proposed to appropriate this amount as follows:-

It will be observed that all the abares in the Company, have not been taken up although at the time the Company was floated they were all applied for, some of the applications have been cancelled altogether, as it was found impossible to collect anything from the applicants, but the remainder of the calls will be collected later on- with interest from their due date.

The total profit is rather less than in former years, owing to the late rise in value of iron and other material which diminished the returns from contracts then pending and taking this into considerations the result of the year's work may be considered fairly satisfactory.

'CONSULTING COMMITTER. Mr. J. W. Noble having retired, Mr. W. F. McIntosh was invited to fill his place on the -Board-lo-accordance with the Articles of Association, the present members retire but offer themselves for re-election.

AUDITORS.

The accounts have been audited by Messrs. L. Downes and A. O. D'Gourdin who offer them- selves for re-election.

The general business of the Company has been of a satisfactory and profitable nature though owing to the incidence of cholers and cattle disease during a portion of the year, which Caused some stoppage to the work in the Philippines, extra expense was unavoidably incurred and a consequent diminution in the

Prospects for the current year are good and the General Managers & Consulting, Committee: have every hope of a favorable result being hewn on the working of this year's business both here and is Manda.
