Sometimes people have lost their way and have walked on the line, thinking it to be the road, nor have they found out their miss take till a train has come rushing along and thrown them off the metals in a cloud of snow, but, singular to say, no one yet caught in this way has been hurt. the class of ponies entered, taking them as a above or even equal to the average, is whole, a matter that time alone can show, but as far as I can make out, while the old ponies are very much of the same calibre as a year ago, it is very doubtful if there is anything in the Derby entry so good as Pao-shing or Challenger.

The annual meeting of the shareholders of the Company was held this afternoon, at the offices of Messrs. Russell and Co., the general managers. Mr. W. H. Forbes presided, and
Messrs. J. S. Moses, S. S. Benjamin, C. A. Tomes, G. 1. Watson, A. Duer, and R. Shewan (retary) were present.
The Chairman said:-Gentlemen, the report and accounts have been in your hands for some daya and if you have no objection will now be taken as read. As explained, the business of the the high Company fell off considerably owing prices which had to be maintained for rope, and which naturally affected the demand for it. In spite of this, however, we have made a fair profit, and as our unsold stocks and consigaments stand in the books at a safe valuation I think we may consider the result on the whole a very satisfactory one. The factory has been shut down since the beginning of the year, but work will be resumed early next month, as our stocks are getting low while orders unfilled are accumulat- ing. The price of the raw material at Manlia is at present lower than it was at any time last year, and if this should last while the demand lately done, I have little fear but that we shall for our rope continues to improve as it has be able to lay before you an equally good report this time next year. Before moving the adoption of the report and accounts shall be happy to answer any questions from shareholders. To move that the report and accounts as presented be adopted and passed.

Home Guard, and I should say he is almost a certain runner for this event in order to, if possible, qualify for the Champions. There are 51 entries for the Valley Stakes and about a score of these will go to the post, Without making any attempt wade through such a crowd, I will merely state that, according to present appearances, the result is confined to Aristocrat, Deveron, Leander, Athole Bolero, Salute, Enterprise, Muskel or Carbine, Brose, Valentine, Llygodan, Dye-understan Qumaru, and Rayon d'Or. Tomorrow's gallops may throw a good deal more light on the matter, and in now giving preference to Leander and Salute I must confess that it is a plunge in the dark for which there may not be sufficient justi- fication, as both these ponies have been under suspicion, and a good deal of their reputed
