company in this colony, we had occasion to advert to current reports to the effect that its shares were very largely gambled in, not only by the members of the Board of Directors but even by the employés, the very men who were actually paid by the share holders to protect and safeguard their interests. As both directors and employes had possession of exclusive Information regarding the results of the company's working, they were practically in the position of card-sharpers playing with packed hands. They were unscrupulously utilising the private business they were paid to keep secret, to the detriment of their employers. We did not then hesitate to characterise such proceedings as dishonorable in the extreme, and a very high authority at home-we refer to Sir JOHN PENDER, the Chairman of the leading telegraph Companies--has since characterised exactly similar tran- sactions as worse than infamous. And this is in reality what we take excep- tion to. in the sensational of the Rope Co.'s stock. The persons who have by means of the exclusive information at their disposal created a "ring" in the Rope Cole shares, and raised the scrip to a fictitious value probably beyond all precedent even in this most speculative of communities, are openly

harsh terms, but between "cornering" of this sort and what is called swindling the margin of diference is a very narrow one. Perhaps most, if not all share market "corners" are based on a swindle! That may be partly true, but if so, it is no justification for this or any other particular attempt to defraud the public.

It is no business of ours to offer advice to the victims of this skilfully carried out "plant," although we find on investigation that they are not all outside the pale of sympathy, Those who

The eleventh ordinary general meeting of the shareholders of this Company was held at noon to-day, at the offices of the Agents, Messrs. Jardine, Matheson & Co. The Han. J. Bell- the Hon. B. Layton, Messrs. J. St. C. Michaelsen, Irving presided and among those present were E. A. Solomon (Consulting Committee), Hon. Belilios, R. Fraser-Smith, D. McCulloch, T. E. CP. Chater, Messrs. H. N. Mody, E R. Davies, J. S. Perry, C. Ewens, F. Dodwall, Danby, 1. B. Elias, F. Gomes, LI Sing, &c.

The notice convening the meeting having been read.

The Chairman said:As the report and state ment of accounts have been in your hands for some time, I presume you will follow the costom of farmer years and take them as read." The course of business during the past year has been

bas ever been able to show. On the 14th of exceptionally prosperous and the results of the working are consequently the best the Refinery August last we paid an interim dividend of 6 per cent, and it is now proposed to make a farther distribution of 8 per cent., equal to 14 per cent. for the year, applying $10,000 towards the reduc tion of Machinery and Buildings, and carrying forward $7,102,07 to the credit of this year's work ing, which apportionment of the balance at our disposal will, I trust, commend itself to your judg been set on foot for a further dividend of one per ment. I understand, however, that a movement has cent, but you may not all bave realised the fact that plant and machinery depreciate, and that, the amount proposed to be written off Property Account no more than provides for the usual wear and tear. Another local company is now. auffering from the payment of excessive dividends in the past, and in such an uncertain industry as Sugar Refining, ordinary prudence should prevent shareholders from demanding more than the General Agents and Consulting Committee are able to recommend. With regard to Property Account, no doubt the Refinery land and buildings in Hongkong are fully. worth their book value, but it must not be forgotten that the price at which the Swatow property stands viz. $418,000, "is under present circumstances excessive. I regret that owing to the conditions of the Sugar trade I see no immediate prospect of resuming work at Swatow, but the premises and machinery are being maintained in an efficient condition, so that should the opportunity present itsell we shall be in. position promptly to take advantage of it. Before moving the adoption of the report I cannot but refer to a subject which neatly concerns the prosperity of the Company, and on which a clear statement of facts is desirable in its future interests. You are pro- bably all aware that in May last what was known as the Sugar syndicate," associated with and organised by a prominent shareholder, was formed with the avowed object of compelling the General Agents to reduce the scale of commissions payable to them under the Articles of Association. No direct proposals were made to them, however, though some cor- Agents expressed themselves as perfectly willing to consider any request which might be laid before them in a proper manner through the Consulting Committee; nothing was done, how- ever, in this direction, the Consulting Committen Syndicate, who declined to attend a meeting of being studiously ignored by the leader of the the Board and state his views, though invited by the General Agents to do so, and no informa He threw pepper into a Chinese sailor's eyes tion whatever could be extracted from his partner guilty and sentenced to three years' imprisonmember of the Board and attended all its meet- on the Prays and stole his blankot. Mr. Orange said the strainers were set in the basin, and had been broken out by beating with stones. They were worth $100 each. Further evidence showed that the prisoner was caught two or three weeks later stealing coal at Wanchai, his boat.
