The Secretary then read the notice convening the meeting, and also the resolutions already referred to.

The Chairman said they would notice that some alterations had been made in the resolutions. which had been published in the local papers. The alterations referred to the making up of the accounts quarterly instead of half yearly for the fatter half of the present year.

Mr. Foss wished to know if there were any minutes of the private meeting to be read, as they would be interesting to those who were unable to be present on that occasion.

The Chairman explained, that the private meeting of the shareholders had been called for the purpose of obtaining the general assent of the shareholders to an increase of the capital, and to inspect the plans shewing the proposed alterations.

1.-That the Capital of the Hongkong Hotel Company Limited, be increased from $100,000 to $300,000 by the issue of 1,000 new shares of $100 each to be issued at par."

Mr. Ruegg o Merry Monk was a hot favorite. After a good race from the distance, Dandolo after swerving badly at the finish got up in the last stride, and won by head; a bad third. Time 62 seconds. The CRITERION STAKES, a Sweepstakes of Tls. 10 each, with Tls. 150 added; for China Ponies; weight for inches as per scale; second Pony to save his stake. One Mile.

SECOND DAY-TUESDAY, MAY 15T, 1883. The weather was much better to-day although the course, notwithstanding the care which had been bestowed on it, was still in very indifferent order. And yet some really good times were made. Dandolo, despite his penalty, added the Chu- Ka-Za Cup to his yesterday's victory, but it was a very close thing between the spotted one and Picaroon, and it almost looked as if Mr. Bidwell had been for once caught napping. The Derby resulted in a great surprise as it was looked upon as a real good thing for Pebble; how ever, the favorite was actually never in the hunt and Torpedo romped away from his field, eventually cantering in about ten lengths considering the sticky going. Mr. Reynell was the fortunate winner of the Ladies' Purse on the greatly improved Oriole, the coveted trophy, a very. sented to the successful jockey-by-Miss Blanche Pickwoad. That sterling racer Tajmahal, rid den by Mir. Bidwell, won the Race Club Cup in 4-33 under great difficulties, the jockey, owing the greater part of the journey with his fect out

Rain fell again to day and the course was in anything but good going order at the finish. The Champions, was run a rain storm which upset several calculations. That grand stayer Prejudice and the game racer Tajmahal were defeated in a walk" by Torpalo, the most wonderful griffin of the day. This pony, whose neck was stretched by Cheapside in the Griffin's Plate, would haye gone through the meeting without a defeat had it not been for the care his rider took not to over do him in the mud on the first day, and in using such wise discretion, Mr. Allan, who landed an easy winner for the Champions, is to be congratulated. Torpedo is the only pony 1-hive seen that would have caused the splendidamcer Teen Kwang to really strelch himself and I am not sure that Mr. St. Andrew's Hlute wonder is not the best pony yet raced in China.
