REPORT OF THE DIRECTORS

FIXED ASSETS

During the year, major additions of the Company were buses with total cost of HK$474,438,000.

Other details of movements in fixed assets during the year are set out in Note 10 on the

accounts.

DIRECTORS

The names of the Directors of the Company at the date of this Annual Report are set out on page

2.

On 28 June 1995, Mr George Chien Yuan Hwei was appointed as an Alternate Director to Mr Walter Kwok Ping Sheung.

On 3 July 1995, Madam Yam Kwan Pui Ying, Lily Teresa JP was appointed as a Director to replace Mr Rafael Hui Si Yan, JP.

On 7 July 1995, Mr Tsim Tak Po was appointed as an Alternate Director to Mr Raymond Kwok Ping Luen.

On 16 September 1995, Mr Ng Kwan Wai, was resigned as a Director of the Company.

On 12 October 1995, Madam Winnie J Ng was appointed as a Director of the Company.

In accordance with articles 99 and 101 of the Company's articles of association, all of the existing Directors with the exception of Messrs John Chan Cho Chak, Charles Lui Chung Yuen and Madam Yam Kwan Pui Ying, Lily Teresa and Mr. Isaac Chow Yiu Nam, retire from the Board

and, being eligible, offer themselves for re-election.
