Notice is hereby given that the Forty-ninth Ordinary Yearly Meeting of Shareholders of the Company will be held at the Four Seasons,

Lobby Floor, New World Hotel,22_Salisbury Road,Kowloon, Hong Kong on Wednesday, 8th June, 1988 at 12 noon for the following

purposes:

To receive and consider the Statement of

Accounts and the Reports of the Directors

and Auditors for the year ended 31st December, 1987.

2 To declare a Final Dividend.

3 To elect Directors and fix their

remuneration.

4 To appoint Auditors and fix their

remuneration.

5 To transact any other ordinary business of

an Ordinary Yearly Meeting.

本公司第四十九屆全體股東週年大會 定於一九八八年六月八日星期三正午 十二時在香港九龍梳利士巴利道 二十二號,新世界大酒店大堂四季廳 舉行。討論下列各項事宜,特此通告。

省覽截至一九八七年十二月三十一日止之 年結及有關該年度之董事會及核數師

報告。

二 通過分派末期股息。

三選舉董事及鑑定其酬金。

四 聘請核數師及鑑定其酬金。

五處理週年常會及其他普通事項。

NOTES:

a The Transfer Books of the Company will be closed from Thursday, 26th May, 1988 to Wednesday,8th June, 1988, both dates inclusive.

b Any shareholder entitled to attend and vote

at the above Meeting may appoint a proxy

to attend and, on a poll, vote in his place. A proxy need not also be a shareholder of the Company.

c To qualify for the proposed distribution, all

transfer forms, accompanied by the relevant

share certificates, must be lodged with the

Company's Registrars, Peat Marwick, Wing On Centre, 10th floor,111,Connaught Road, Central, Hong Kong not later than 4pm on Wednesday, 25th May, 1988.

甲 本公司將於一九八八年五月二十六日

星期四至一九八八年六月八日

星期三止( 首尾兩天在內)暫停 辦理股票過戶。

乙 凡股東皆有權出席上述會議及投票,

亦有權指定代表出席投票(於計算 所佔有股數情況下 )。代理人不必為 本公司股東。

丙 凡欲收取現建議派發末期股息而未辦理 過戶手續之股東,請於一九八八年五月 二十五日星期三下午四時前將九巴股份 過戶文件連同有關股票送交本公司股票 過戶登記處,香港中環干諾道中111號 永安中心10樓,畢馬域會計師行辦理 過戶手續。
