of not less than Ten Dollars and shall cause their Names to be entered upon the Register of Members hereinafter provided shall be One Body Politic and Corporate, in Name and in Deed by the Name of "The Tung Wa Hospital," with perpetual Succession and a Common Seal.

III. The Corporation shall have Power notwithstanding the Power to hold Statutes of Mortmain or any Statutes to the contrary to purchase, Lands and sue hold, take, and enjoy to themselves and their Successors all Houses, and be sued in

Corporate Buildings, Lands and Hereditaments which they may require for the Name. Purposes of the said Hospital and shall and may sue and be sued in their Corporate Name in all Courts whether of Law or of Equity, and from Time to Time with the Consent of the Governor in Council may change or vary their Corporate Name and their Common Seal and also the Amount of the Contribution to the Funds of the Corporation hereinbefore prescribed as a Qualification for becoming a Member dhereof.

IV. The Corporation is erected for the Purpose of establishing Object and and maintaining a Public Free Hospital for the Treatment of the Purpose of Indigent Sick among the Chinese Population to be supported by Incorporation. Voluntary Contributions, and managed by a Board of Direction.

V. The Board of Direction shall consist of not less than Six Board of Di- and not more than Twelve Members of the Corporation to be elected rection. Its Constitution. as hereinafter mentioned, who shall from Time to Time appoint one of their Body to be President, and every Member of the Board of Direction shall hold Office for the Terin of One Year, and be re-eligible at the Expiration thereof.

VI. The Members of the Board of Direction shall be elected Its Election. from Time to Time by a Majority of the Votes of all the Members of the Corporation, each of whom shall, unless otherwise provided by any Bye-Law to be hereafter madé, be entitled to One Vote for every One hundred Dollars contributed by him to the Funds of the Corporation by way of Donation or for every Ten Dollars contributed by him by way of Annual Subscription.

VII. The Board of Direction shall, subject to the Provisions of Its Functions, this Ordinance, have full Power and Authority generally to

manage, direct and decide all Matters whatsoever connected with

the Administration of the Affairs of the Corporation and the Accomplishment of the Object and Purposes thereof.

VIII. The Board of Direction shall, subject to the Provisions of Its Power this Ordinance, have Power to make Bye-Laws for regulating in to make Bye- every Respect the Mode of Voting and the Proceedings for the Laws subject

to approval by Election of Members of the Board of Direction and for the Ap- Governer in pointment of the President thereof, and for the Procedure in the Council. Transaction of Business and for the Maintenance of good Order at their Meetings and generally for the Management and Discipline of the Hospital: Provided always that no such Bye-Law shall have any Force or Effect until the same shall have been submitted

te and approved by the Governor in Council.

IX. All Questions which may arise at any Meeting of the Board Questions to be of Direction shall be decided by a Majority of Votes, and in Case decided by

Majority. of an Equality of Votes, the President in Addition to his original Vote shall have a Casting Vote.

X. Whenever any Doubt or Ambiguity shall arise and any Questions of Controversy shall take place among the Members of the Board of Doubt or Direction as to the Interpretation of this Ordinance or of any Bye- Ambiguity, Law to be made and approved as aforesaid, the same shall be referred to the Governor in Council whose Decision thereon shall be final.

XI. The Corporation shall with all convenient Despatch after Hospital to be the Passing of this Ordinance proceed to elect a Board of Direction erected on the who shall cause all Buildings and Works required for the Purposes Site granted by

Her Majesty. of the said Hospital to be erected and executed out of the Funds of the Corporation upon the Site granted by Her said Majesty as aforesaid.

XII. The Hospital and all Buildings and Premises of the Inspection Corporation shall be open at all reasonable Times to the Inspection by Public of the Registrar General, the Colonial Surgeon and of any other Person whom the Governor may appoint in that behalf.

XIII.
