THE HONGKONG GOVERNMENT GAZETTE, 28TH AUGUST, 1875.
The Ordinance has the following objects in view :—
(a.) Enabling companies to be constituted, if so desired, with limited liability in the members, and unlimited liability in the directors. Sections III to VII. (b.) Enabling companies to reduce their capital. Sections
VIII to XVIII.
(e.) Enabling companies to subdivide their shares. Sections
XIX and XX.
(d.) Enabling associations formed for any useful object, which does not involve the payment of a dividend to the members, to register themselves as limited companies, without annexing the word "limited" to their names. Section XXI.
(e.) Enabling companies to issue preference shares, and re- quiring all shares to be paid for in cash, unless issued under a registered contract. Sections XXII and XXIII. (f) Enabling a transferor of shares to enforce a registry of
the transfer. Section XXIV.
(9.) Enabling warrants for fully paid up shares or stock to
be issued to bearer. Sections XXV to XXXIV. (h.) Defining the mode in which contracts by a company are
to be executed. Section XXXV.
(i.) Requiring a general meeting of a company to be held within four months after registration. Section XXXVI. (3.) Facilitating compromises between companies that are being wound up, and their creditors. Section XXXVII. (k.) Placing a restriction on persons buying shares for the purpose of enabling them to petition for the winding-up of a company. Section XXXVIII.

The following Resolution passed at a Meeting of the Legislative Council held on Wednesday, the 25th August, 1875, is published for general information.

RESOLVED
Under the provisions of Section 14 of Ordinance No. 1 of 1873,
That the Scale of Stamp Duties contained in the Second Schedule to "The Sheriff's Ordinance, 1873," be varied as hereinafter mentioned, that is to say:-
By striking out the last item, namely, the percentage charged upon arrests or seizures in execu- tion, and by inserting:-
"For every receipt or acquittance to the Sheriff for monies recovered by any arrest or seizure in execution, 2 per cent on the first $500 recovered, including the costs of recovery; and 1 per cent on every $100 or fractional part thereof above $500.”

NOTICE TO MARINERS.
The Steam Ship Pernambuco has struck in the vicinity of Cape Ty Wan on a rock not marked on the Charts, the depth of water on which at low water is 9 feet 3 inches.
The Southern Point of Cape Ty Wan bears N. 41° W. at a distance of 2 miles, and the Light- house at Cape St. James bears S. 82° 20′ W.
These bearings are taken from the true meridian.
The foregoing has been taken from a Hydrographic Survey by the despatch boat Surcoup.
