The said Yiu Shun Chi and Hop Fat Comi- panp Limited will carry on the business under the name of the Empress Restaurant of Res- taurant keepers on the premises mentioned in the said Indenture of Lease and will not assume any of the responsibilties of the Transferor or his transferors except the obligation contained in the said lease. Trambitzky, Cheung Tin Lee and Wong Sau Shek all of No. 7, Duddell Street, (first floor), Victoria, aforesaid Mer- chants (hereinafter called "the Transferees of the other part the Transferor agreed to sell to the Transferees for the consideration therein mentioned the business of Foreign Products Distributors Forprodist Limited, carried on at the (first floor), of China Building, Victoria, aforesaid together with the goodwill, furniture, fittings, utensils and stock-in-trade and the benefit of subsisting contracts. The Trans- ferees intend to carry on the said business at No. 7, Duddell Street, (first floor), under the style of Foreign Trading Company and the nature of the business is that of merchants of foreign food products.
The Transferees assume all liability for goods purchased on order or indent and not yet taken into stock but for no other liabilities or debts of the Transferor.
