confirmed:--
1. That the offer made by the Govern- ment of $1.001,250. Dollars one million one thousand two hundred and fifty), for the purchase of all lands belonging to the Company forming or within the Kai Tack Reclamation area but not including the land and building situate on portion of New Kowloon Inland Lot No. 133 (which are properties belonging to the China Noodle Factory be accepted on the terms contained in the letter of The Hon. The Director of the Public Works dated the 9th November, 1927 and addressed to Dr. S. W. Ts'o.
2. That the Company be voluntarily wound-up under Article No. 163 of the Memorandum and Articles of Association of the Company and that its accounts and affairs be brought to a final close and settle- ment by the Board of Directors with the aid of the Company's Solicitors also with power to engage any accountant and such other per- sons to assist in the speedy settle- ment of the Company's accounts and affairs at such remuneration as the Board may think fit,
3. That the surplus assets of the Com- pany shall, after payment of all debts due by and the settlement of all liabilities of the Company, be distributed amongst holders of shares on which no land has been allotted by the Company pari passu according to the amount of capital paid for such shares and that holders of shares on which land has been allotted by the Company shall not be entitled to any part of the surplus assets of the Company in respect of such shares unless and until the other shares on which no land has been allotted have been paid in full.
