NOTICE OF AGREEMENT OF

TRANSFER.

HE public is hereby notified that Chui Chak Man trading as the Tai Wo Loong and Sam Wo Firms at No. 6 Waterloo Road and 540 Cheungshawan Road respectively has entered into an agreement dated the 23rd February, 1938, for the transfer of the goodwill and busi- ness of the said two firms to our clients the Hop Shing Tong as has been advertised in the Gazette in pursuance of the requirements of the Fraudulent Transfers of Business Ordinance No. 25 of 1923.

The said Chui Chak Man now refuses to complete the transfer and we have instructions to sue the said Chui Chak Man for specific per- formance of the said agreement.

The public is therefore warned not to pur- chase the said goodwill and business from the said Chui Chak Man,

NOTICE OF EXTRAORDINARY GENERAL MEETING.

NOTICE is hereby given that an Extra-

ordinary General Meeting of the mem- bers of the abovenamed Company will be held at the office of Mr. C. Y. Kwan, Solicitor, of 2nd floor, No. 4A Des Voeux Road Central, Victoria, in the Colony of Hong Kong, on Tuesday, the 26th day of April, 1935, at 3.30 o'clock in the afternoon, for the purpose of considering and, if thought fit, passing as an Extraordinary Resolution the following resolu- tion, that is to say:--

"That it has been proved to the satis- faction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Mr. Cheng Yung Shue of No. 5 College View (1st floor), Victoria, in the Colony of Hong Kong, be and he is hereby appoint- ed liquidator for the purpose of such winding-up, and that the re- muneration of the said liquidator for his services in the winding up be fixed at the sum of $70.00 per month, together with all costs, charges and expenses incurred by him in and about such winding up' Dated the 14th day of April, 1938.

OTICE is hereby given that an Extra- ordinary General Meeting of the Mem- bers of the China Provident Loan & Mortgage Company Limited will be held at the Jacobean Room, 1st floor, Hong Kong Hotel, Victoria, Hong Kong, on Wednesday, the 20th day of April, 1938, at 12.15 p.m., or so soon thereafter as the Annual General Meeting convened at the same place on that day at noon shall be concluded, for the purpose of considering, and, if thought fit, passing the following Resolu- tions as Ordinary Resolutions:-

1. That the Capital of the Company be increased from $2,210,917,50 divided into 884,367 shares of $2.50 each to $2,210,920.00 divided into 884,368 shares of $2.50 by the creation of one new share of $2.50, and that such new share be issued at such time and upon such terms and conditions as the Direc- tors may determine.

2. That upon allotment of the new share aforesaid, the shares in the Capital of the Company be consolidated in such manner that every two shares of $2.50 shall constitute one share of $5,00 eredited as fully paid; That the existing certificates of shares be called in by the Directors and cancelled, and that new certificates be issued, subject to the provisions of the Company's Articles of Association AND that simultaneously with such consolidation as aforesaid, the nominal Capital of the Company be increased from $2,210,920.00 divided into 442,184 shares of $5.00 each to $4,000,000.00 divided into 800,000 shares of $5.00 each by the creation of 357,816 new shares of $5.00 each, and further that such new shares be issued at such times and upon such terms and conditions and with such rights and privileges as the Directors may de- termine.

Transfer of Business Ordinance No. 25 of 1923, Notice is hereby given that The Hong- kong Import & Export Co., carrying on busi- ness of importers, exporters and commission agents, at 4, Queen's Road Central, in the City of Victoria in the Colony of Hong Kong, here. inafter called "the Transferor ". has agreed to transfer the business of the said The Hongkong Import & Export Co., together with its goodwill, trade marks, agencies, stock-in-trade, samples, furniture fixture, book-debts, and effects to S. Shewan & Co., of 4, Queen's Road Central,

Hong Kong, hereinafter called "the Trans- feree on the 15th day of March, 1938.

The Transferee is carrying on the said busi- ness at 4, Queen's Road Central, Hong Kong under the same name of The Hongkong Import & Export Co., and will assume any and all liabilities incurred in the said business by the Transferor.
