NOTICE OF TRANSFER.
IN pursuance of Section 3 of the Fraudulent
Transfer of Business Ordinance No. 25 of 1923, Notice is hereby given that The Hong- kong Import & Export Co., carrying on busi- ness of importers, exporters and commission agents, at 4, Queen's Road Central, in the City of Victoria in the Colony of Hong Kong, here- inafter called "the Transferor ", has agreed to transfer the business of the said The Hongkong Import & Export Co., together with its goodwill, trade marks, agencies, stock-in-trade, samples, furniture fixture, book-debts, and effects to S. Shewan & Co., of 4, Queen's Road Central, Hong Kong, hereinafter called "the Trans- feree " on the 15th day of March, 1938.
The Transferee is carrying on the said busi- ness at 4, Queen's Road Central, Hong Kong under the same name of The Hongkong Import & Export Co., and will assume any and all liabilities incurred in the said business by the Transferor.

First Ordinary Annual Meeting of Share- holders in the Company will be held in the Jacobean Room, 1st floor, Hong Kong Hotel, Pedder Street, Hong Kong, on Wednesday, 20th April, 1938, at Noon for the purpose of receiv- ing a Statement of Accounts and the Report of the Board of Directors for the year ended 31st December, 1937, electing Directors and Auditors, and for the transaction of any other ordinary business of the Company.
Notice is also hereby given that the Transfor Books of the Company will be closed from Saturday, 9th April, 1938, until Wednesday, 20th April, 1938, both days inclusive, during which period no transfer of shares can be registered.

OTICE is hereby given that an Extra- ordinary General Meeting of the Mem- bers of the China Provident Loan & Mortgage Company Limited will be held at the Jacobean Room, 1st floor, flong Kong Hotel, Victoria, Hong Kong, on Wednesday, the 20th day of April, 1938, at 12.15 p.m., or so soon thereafter as the Annual General Meeting convened at the same place on that day at noon shall be concluded, for the purpose of considering, and, if thought fit, passing the following Resolu- tious as Ordinary Resolutions:—
1. That the Capital of the Company be increased from $2,210,917,50 divided into 884,367 shares of $2.50 each to $2,210,920.00 divided into 884,368 shares of $2.50 by the creation of one new share of $2.50, and that such new share be issued at such time and upon such terms and conditions as the Direc- tors may determine.
2. That upon allotment of the new share aforesaid, the shares in the Capital of the Company be consolidated in such manner that every two shares of $2.50 shall constitute one share of $5.00 credited as fully paid; That the existing certificates of shares be called in by the Directors and cancelled, and that new certificates be issued, subject to the provisions of the Company's Articles of Association; AND that simultaneously with such consolidation as aforesaid, the nominal Capital of the Company be increased from 32,210,920.00 divided into 442,184 shares of $5.00 each to
$4,000,000.00 divided into 800,000
shares of $5.00 each by the creation of 357,816 new shares of $5.00 each, and further that such new shares be issued at such times and upon such terms and conditions and with such rights and privileges as the Directors may de- termine.
