named Company duly convened and held at the Offices of Messrs. l'ERCY SMITH, SETH and FLEMING, No. 5. Queen's Road Central, Hongkong. on Thursday. the Twenty-eigth day of May, 1914, at noon precisely, the following extraordinary resolutions were duly passed

1. That it has been proved to the satisfaction of the Company that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up same, and accordingly that the Company be wound up voluntarily under the provisions of the Com- panies Ordinances 1911 and 1913.

2. That JOHN HENNESSEY SETH, a partner in the firm of Messrs. PERCY SMITH, SETH and FLEMING, Accountants and Auditors, be and is hereby appointed Liquidator for the purpose of such winding up.
