OTICE is hereby given that a Petition presented to the Supreme Court of Hongkong on the 6th day of January, 1914, for confirming a Special Resolution reducing the capital of the above-named Company from $150,000 to $90,000 by reducing the par value of the shares from $10 to $6 each is directed to be heard before the Chief Justice of the Supreme Court of Hongkong on Saturday, the thirty-first day of January, 1914, at 10.30 o'clock in the forenoon. Any creditor or shareholder of the Company desiring to oppose the making of an Order for the reduction of the capital of the said Company under the above Ordinance should appear at the time of hearing by himself or his Counsel for that purpose and a copy of the Petition will be furnished to any creditor or shareholder of the Company requiring the same by the Un- dersigned on payment of the regulated charges for the same.

Tan Extraordinary General Meeting of the above Company, duly convened, and held in the Chamber of Commerce Rooms, No. 1, Yuen Ming Yuen Road, Shanghai, on the 15th day of December, 1913, the following resolutions, which were proposed as extraor- dinary resolutions, were duly passed, and at a subsequent Extraordinary General Meeting of the members of the said Company, also duly convened, and held at the same place, on the 30th day of December. 1913, the same resolutions were duly confirmed as special resolutions, riz :---
1. That the Company be wound up vol- untarily and that VILHELM MEYER be and he is hereby appointed liqui- dator for the purposes of such wind- ing up.
2. That the liquidator be and he is hereby authorised, pursuant to Section 185 of the Companies' Ordinance, 1911, of Hongkong to enter into an Agree- ment in the form of the Draft Agree- ment now submitted to the meeting, with or without modifications for the sale and transfer to a new Com- pany to be incorporated with limited liability under the Companies' Ordi- nance, 1911, of Hongkong, of all the business, property, and undertaking of this Company in accordance with a scheme of reconstruction, of which the following are the principal terms and conditions :---
(4.) The name of the New Com- pany to be the same as, or similar to, that of the old Company, and the nominal Capital thereof shall be Tls. 350,000 divided into 350,000 Ordinary Shares of Tl. I each. The Memoraŭ- dum and Articles of Association of the new Company to be subject to the approval of the Liquidator.
(b.) As part of the consideration for the said sale the New Company shall pay, satisfy, and discharge all the debts and liabilities of this Com- pany, and also the expense of, and incidental to, the winding up of the same, and to the incorporation of the new Company, and the sale and trans- fer by the liquidator of the assets and liabilities of this Company to the new Company.
(e.) As further part of the con- sideration for the said sale and trans- fer the new Company shall allot to the shareholders of the old Com- pany, as being the nominees of the liquidator, 22,500 shares of Tl. 1 each in the new Company, and duly reg- istered in the books as fully paid, in the proportion of one such Ordinary share to each Ordinary share of Tls. 10 each held by the proprietors respectively in the old Company.
