() As further part of the consideration for the said sale and transfer the New Company shall allot to the Share- holders of the Old Company, as being the nominees of the Liquidator 125,000 Shares of Two Shillings each in the New Company, and duly registered in the books as fully paid, in the proportion of one such Ordinary Share to each Ordinary Share of £1 each held by the Proprietors respec- tively in the Old Company and fur- ther to be entitled to apply for two Debentures of Two Shillings each in the New Company for each Share of One Pound Sterling held by them in the Old Company.
