A first dividend of $50.00 per cent. has

been declared in the above matter.

NOTICE is hereby given that the above

mentioned dividend may be received at the Official Beceiver's Office, Victoria, aforesaid, on Wednesday, the 10th day of July, 1912, between the hours of 10 a.m. and 4 p.m. and on any subsequent day during office hours.

Creditors applying for payment must pro- duce any bills of exchange or other securitics held by them and must sign a receipt in the prescribed form.

OTICE is hereby given that at

Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at No. 8, Nanking Road, Shanghai, on Friday. the 31st day of May, 1912, the following Extraordinary Resolutions were duly passed; and at a second Extra- ordinary Mecting of the said Company, duly convened and held at the same place, on Tuesday, the 18th day of June, 1912, were duly confirmed :—

1. That it is desirable to reconstruct the Company, and accordingly that the Company he wound up voluntarily, and that ARCHIBALD CARTER NEW- C6MB be and be is hereby appointed Liquidator for the purposes of such winding-up.

2. That the said Liquidator be and he is hereby authorised to consent to the Registration of a new Company, to be name DUNNING & COMPANY, LI- Memorandum and MITED, with a Articles of Association which have already been prepared with the pri- vity and approval of the Directors of this Company.

3.That the draft agreement submitted

to this Mecting and expressed to be made between this Company and its Liquidator, of the one part, and the new Company, of the other part, be and the same is hereby approved, and that the said Liquidator be and he is hereby authorised, pursuant to Sec- tion 185 of the Companies Ordinance 1911 to enter into an agreement with such new Company (when incor- porated) in the terms of the said draft. and to carry the same into effect with such (if any) modifications as he thinks expedient.
