ordinary General Meeting of the Mem- bers of the Semambu Rubber Estates, Ld., held at the Rooms of the Shanghai Chamber of Commerce, No. 1 Yuen-Ming-Yuen Road, Shanghai, on Thursday, the 4th day of May, 1911, at 4.30 o'clock in the afternoon, the subjoined Resolutions were duly passed as Extraordinary Resolutions, and that at a subsequent Extraordinary General Meeting of Members of the said The Semambu Rubber Estates, Id., held at the Heal Office of the Company, No. 13 Nauking Road, Shanghai on Monday, the 22mi May, 1911, at 4.30 o'clock in the afternoon, the subjoinel Resolutions were duly confirmed as Special Resolutions,

1. That it is desirable to reconstruct the Company, and accordingly that the Company be wound up voluntarily and that REGINALD NOBLE TRUMAN be and he is hereby appointed Liqui- dator for the purpose of such winding up.
2. That the said Liquidator be and he is hereby authorised to consent to the registration of a new Company, to be named The New Semanbu Com- pany, Limited," with a Memorandum and Articles of Association which have already been prepared with the privity and approval of the Directors of this Company.
3. That the draft agreement submitted to this Meeting and expressed to be made between this Company and its Liquidator of the one part and The New Semamba Company, Limited, of the other part, be, and the same is hereby approve, and that the said Liguditor be, and he is betely au- thorized in accordance with the pro- visions of the Companies Ordinances of Hongkong to enter into an Agree- ment with gach new Company (when incorporately in the terms of the sail Draft and to carry the same tuto effect with such (it any) modifications as they think expedient,
