the members of the above named Com- pany duly convened and held at the Registered Office of the Company, No. 7, Queen's Road Central, Victoria, Hong Kong, on Tuesday the 8th day of May, 1934, the following Extra- ordinary Resolution was duly passed :--

"That it has been proved to the satisfac- tion of this meeting that the Com- pany cannot by reason of its liabili- ties continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that John Fleming of No. 7 Queen's Road Central, Victoria aforesaid, Chartered Accountant he appointed Liquidator for the purpose of such winding up
