Au leaders offered by us and orders or contracts accepted are subject to the following terms and conditions us- less otherwise agreed in writing and signed by an authorised office: of SFE Systems Lid.
All other terms are excluded from any order or contract placed with us.This clause shall apply even if orders of contracts are accepted on customers' own purchase order sheets which may contain statements or clauses in- consistent with those stated herein.
Price
The prices quoted in our tender are valid only for the period stated.
All itader and offers for sale are made in accordance with costs prevailing at the date of offer and whilst we endeavor to maintain the prices quoted, we reserve the right at any time from the date of our tender to the date of completion of the order of contred to increase our prices to compensate us for any increase in costs beyond
our costrol

Whilst we undertake to make every effort to deliver goods and to complete contracts within the time specified in our tender, this period must be regarded as approximate and not binding in law.
We do not accept responsibility for any direct or indirect losses which may arise if completion is delayed due to fauky material, strikes,lock ovu,non delivery of material or parts by other suppliers, sezičeni, break down, act of God, or any other causes beyond our control.
The delivery period quoted is effective only from the time of receipt of full information, written instructions to proceed from the purchaser,and receipt of the agreed down paymest.Any delivery date quoted shall be adjusted accordingly if such information or instruction is delayed.
Payment
4.1 Unless otherwise agreed in writing, the prices quoted must be paid to us free from any deductions of any kind.
Unless otherwise agreed in writing, payment must be made in the currency or currencies quoted in our tender. 43 Should the agreed terms of payment not be met, we reserve the right to receive from the purchaser interest on
any delayed amount at a rate of 3% above the current prime consensus lending rate in Hong Kong.

Title
The risk in the goods passes to the Purchaser on delivery or in FOB contracts, on shipment. Whilst they are in the custody of the Purchaser and until he has received title to them he must insure them fully against all risks at the Purchaser's expense.
The goods will remain our property and cannot be made part of the Purchaser's assets until payment in full of all money due under the contract.
Repossession of Goods
53.1 We may repossess when
a any payment under the contract is due and unpaid in whole or in part
b. the Purchaser fails to observe any of the terms of the contrad
the proceedings involving the Purchaser's solvency are commenced
d. on any reasonable ground we consider ourselves insecure. All payments become due when liability un-
der the contract is due and unpaid or unperformed.
532 When the right to repossess arises we may repossess, resell and sue to satisfy.

533 In lieu of repossession we are entitled to the payment of all money due under the contract.
The Purchaser agrees to allow us or our agent to enter the Purchaser's premises at any time without further per- mission for the purpose of repssessing the goods. If the goods or any part thereof are affixed to such land or buildings we shall be entitled to sever the same therefrom and to remove the goods and the Purchaser shall be responsible for all damages causes to the land, buildings or goods by such removal
