US ANTI-TRUST NOTIFICATION: PROPOSED ACQUISITION OF MAJORITY SHARE IN G.M. PFAFF AG (GERMANY) BY SEMI-TECH (GLOBAL) CO. LTD. (HONG KONG)
Thank you for your letter of 21 April to John Hagestadt concerning the investigation by the FTC into the proposed acquisition of a majority share in G.M. Pfaff AG, a German company, by Semi-Tech (Global) Co. Ltd, a Hong Kong company.
We have taken careful note of the information contained in your letter. This notification is still under consideration. In order to help us to understand better the interest of the FTC in the proposed acquisition, we would like some additional information about their investigation. In particular, we would like to know:
(1) if either of the subsidiaries of the German
subsidiaries of the German or Hong Kong companies in the US is involved in the product market for sewing machines;
(2) if the acquisition went ahead, would this lead to a concentration of market share in the hands of the merged company?;
(3)

if the answers to both (1) and (2) above are no, what is the nature of the FTC's interest in the proposed acquisition?;
how will the FTC be requesting information and documents from the parties?
