The price, quantity, quality and description of and any

specification

and

services

for the helicopters,

and the terms and

related equipment

conditions shall be

those set out in the draft Amendment No. 6 hereto.

3.

It is hereby acknowledged that a legally binding

contract shall be executed by the parties hereto

subject to the following Conditions Precedent:-

(A) the provision of the necessary funds by the

Finance Committee of the Legislative Council of

Hong Kong for such purchase;

(B)

the grant of the necessary approval by the Central

Tender Board of the Hong Kong Government to the

Buyer for such purchase; and

(C)

the

execution of a formal agreement with the Buyer

by the Seller.
