This Guarantee shall terminate upon delivery to the Government of Hong Kong of the Helicopters pursuant to the terms of the Agreement or refund of the Advance Payment as provided herein.
This Guarantee may not be assigned, in whole or in part, by the Government of Hong Kong without the prior written consent of the Guarantor which consent shall not be unreasonably withheld.
¦ This Guarantee shall in all respects be governed by, and construed in accordance with, the internal law of the State of Connecticut, U.S.A., including all matters of construction, validity and performance.
This instrument embodies the entire agreement between the Guarantor and the Government of Hong Kong with respect to the guarantee provided hereunder. There are no promises, terms, conditions or obligations other than those contained herein and this Guarantee agreement shall supersede all previous communications, representations or agreements, either oral or written, of the Guarantor, Sikorsky, or the Government of Hong Kong with respect to the subject matter hereof. No provision of this Guarantee may be changed or amended except by an instrument in writing signed by the Government of Hong Kong and the Guarantor expressly referring to the provisions of this Guarantee to which such instrument relates.
If the foregoing is acceptable to you, please evidence your acceptance and agreement by having an authorized representative sign the enclosed duplicate of this letter in the space provided below, and return the fully signed duplicate within thirty (30) days of the date hereof, otherwise this Guarantee and agreement proposed herein shall be void and without any force or effect.
