WHO CAN FORM A COMPANY?
Section 1 of the Companies Act 1985 allows two or more people to form an incorporated company for any lawful purpose. In the case of a private company limited by shares or by guarantee, one person only may subscribe to the memorandum of association.
HOW DO I FORM A COMPANY?
You will need to send the following documents to the Registrar of Companies:

a memorandum of association this is a document (in a prescribed form) which sets out the company's name, intended address of the registered office and its objects. Other clauses to be included in the memorandum will depend on the type of company being incorporated (see Appendix A pages 7 and 8 of this booklet for details);
*
articles of association - a company limited by shares may, and a company that is limited by guarantee or unlimited must, register this document with the memorandum. It must be signed by each person subscribing to the memorandum.

a company limited by shares may adopt Table A, which is a "model" set of articles of association. Table A will automatically apply to a company to the extent that its own articles do not exclude or modify Table A.
