These notes apply to flat management companies
owned by the tenants and other similar bodies, such as
residents' and tenants' associations incorporated
under the Companies Act.
If your company operates for the benefit of
residents or tenants rather than being run as a
business for profit, please read on.
WHY DO I NEED A COMPANY?
A company incorporated under the Companies Act is a
legal person which has a life of its own quite separate from the people involved. In particular, it can own
property.
Your company probably owns the freehold or master.
lease for some property. If so, take good care of your company. If it dies, you could find that you cannot sell
your flat.
If your company does not own property and simply collects money for repairs and maintenance and pays
bills when they come, think about whether you need a company. Have a word with your solicitor or
accountant. It may be that a less formal arrangement
such as a residents' or tenants' association would
serve you just as well without the responsibilities of a
company.
