DEUTSCHE BANK (MERGER) ORDINANCE 1988
(No. 17 of 1988)
The purpose of this Ordinance is to facilitate, in Hong Kong, the vesting in Deutsche Bank Aktiengesellschaft ("Deutsche Bank") of the undertaking of Deutsche Bank (Asia) Aktiengesellschaft ("DB Asia"). Both companies are constituted under the law of the Federal Republic of Germany and are to be merged pursuant to the provisions of the FRG Stock Corporation Act. The Bill of the Ordinance was introduced as a private Bill following consultation with the Secretary of State.

Section 4 provides, as from an appointed day, for the recognition of the vesting in Deutsche Bank of that part of DB Asia which is governed by Hong Kong law or the transfer of which is governed by Hong Kong law or which is derived from the Hong Kong business of DB Asia. The Ordinance contains a number of supplementary provisions relating (inter alia) to the effect of that vesting in relation to trusts and wills (section 5), the relationship with customers, borrowers, employees and other third parties (sections 6 to 8), and evidence (sections 9 to 11).

Before the Governor assented to the Bill in the name and on behalf of Her Majesty, the Attorney General advised that he could properly do so.
