Notice of Extraordinary General Meeting
NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of The Stock Exchange of Hong Kong Limited (the "Exchange") will be held at the Trading Hall of the Exchange at 1st Floor. One and Two Exchange Square, Central, Hong Kong on Wednesday, 20th July, 1988, at 5 p.m. for the purpose of considering and, if thought fit, passing the following resolution which will be proposed as a Special Resolution:-
SPECIAL RESOLUTION
"THAT with effect from the date on which the Securities Commission gives its written consent to such alteration pursuant to Section 35 of the Stock Exchanges Unification Ordinance (Cap 361 of the Laws of Hong Kong) the Articles of Association of the Exchange (the "Articles") be altered as follows:-

(a) the following definition be inserted after the definition of "corporation" in Article 1:—
"the Council" means the Council of the Exchange appointed or elected as hereinafter provided and, where the context so permits, any Sub-Committee thereof and "member of the Council" means a member for the time being of the Council."
(b) the following definition be inserted after the definition of “Dividend” in Article 1:-
**Election" means the annual election by secret ballot of members of the Council pursuant to Article 89.*
(c) the following definition be inserted after the definition of "Individual Member" in Article 1:-
**lay member of the Council" means a member of the Council holding office pursuant to Article 87A(a)(iv)."
(d) the following definition be inserted after the definition of "Member" in Article 1:-
Nominating Committee" means the committee established pursuant to Article 87B."
(e) the word "Committee" be replaced by the word "Council" and the words "Committee member" be replaced by the words "member of the Council" wherever they respectively appear, except in Articles 87A(b) and 88(C).
Articles 87 to 95 be deleted and there be substituted therefor the following new Articles 87 to 95:-
"87. The Council shall consist of 22 persons Provided that if, for any reason, there shall at any time be less than 22 members of the Council, the Council shall continue to act as such until the vacancies have been filled in accordance with the provisions of Article 94.
87A. (a) Subject as herein provided, the Council shall consist of the following persons from the following categories:-
(i) four Individual Members elected pursuant to Article 89 who shall have been proposed for election by the Nominating Committee in accordance with Article 87B;
