Clause 3 establishes and incorporates the Ocean Park Corpo tion. Clauses 4, 5 and 6 relate to the common seal of the Corporation ans the execution of documents.

4. Clause 7 establishes the Board of the Corporation and provides that the Board will be the governing and executive body of the Corporation.

5. Clause 8 provides for the membership of the Board. Clause 9 provides for the appointment by the Governor of a Chairman and Deputy Chairman of the Board. Clauses 10 and 11 relate to the proceedings of the Board. Clause 12 enables the Board to transact its business by circulation of papers to members.

6. Clause 13 transfers all assets and liabilities of Ocean Park Limited to the Corporation. Clause 14 transfers all employees of the company to the Corporation on the same terms and conditions as they were employed by the company. Clause 15 provides that any reference in any document to the company is to be read as a reference to the Corporation, except any document which relates to the incorporation of the company. Clause 16 provides for the dissolution of the company.

7. Clause 17 specifies the functions of the Corporation. Clause 18 specifies the powers of the Corporation.

8. Clause 19 provides for the appointment of a Chief Executive and other employees by the Corporation. Clause 20 provides for the engagement of technical and professional advisers by the Corporation. Clause 21 specifies benefits which the Corporation may provide to its employees.

Clause 22 empowers the Corporation to create committees. Clause 23 provides for delegations by the Corporation, with certain specified restrictions. Clause 24 provides for delegations by the Chief Executive.

10. Part VIII is financial. Clause 25 empowers the Corporation to borrow money and charge its property. Clause 26 provides for the account- ing requirements of the Corporation. Clause 27 empowers the Corporation to invest surplus funds in such investments as it thinks fit. Clause 28 specifics an auditor's rights in relation to the accounts of the Corporation. Clause 29 provides that Part VIII is not to apply to the Ocean Park Trust Fund. (The Fund has separate financial requirements under Part IX).

11. Clause 30 establishes the Ocean Park Trust Fund. The Fund will consist of a $200 million donation by The Royal Hong Kong Jockey Club and such other moneys and assets as may be donated, subscribed or bequeathed to the Fund or acquired by the Corporation for the Fund.

12. Clause 31 specifies the purposes for which the Fund may be used. Unless otherwise approved by the Governor in Council, the principal of the Fund may only be applied to meet capital expenditure on development projects for Ocean Park.

13. Clause 32 provides for the investment of moneys of the Fund. Clause 33 specifies the accounting requirements of the Fund. Clause 34 provides that the Fund shall not be used as security. Clause 35 specifies an auditor's rights in relation to the accounts of the Fund.

14. Clause 36 provides that the Corporation is not a servant or agent of the Crown. Clause 37 empowers the Governor to request information from the Corporation. Clause 38 empowers the Governor to give directions

the Corporation if he considers it is in the public interest to do Clause 39 empowers the Corporation to make by-laws. Clause 40 makes a consequential amendment to the Prevention of Bribery Ordinance (Cap. 201).
