7. Disputes

Any disputes between the Government of Eong Kong

and the Agoncy arising out of or relating to this lottor which cannot bo sottled by negotiation or other agreed modo of sottlo- ment shall be submitted to arbitration at the request of either tre Government of Hong Kong •

If within 30 days of tho request for arbitration cithor party has not appointed an arbitrator or within 15 days of the appoint- mont of two arbitrators the third arbitrator has not been appoint- od, either party may request the Secretary-Gonoral of the United Nations to appoint an arbitrator. Tho proceduro of the arbitra- tion shall be fixed by the arbitrators, and the expenses of the arbitration shall bo borne by the parties as assessed by tho arbi- trators. Tho arbitrators shall make docisions by a majority voto, and any two shall constitute a quorum. The arbitral award shall contain a statomont of the reasons on which it is basod and shall be accepted by tho partios as the final adjudication of the dis- putc.
