10. Clauses 18 and 19 respectively empower the
Board and the Chief Executive to delegate.
11. Clause 20 provides for the membership of the
Centre, and clause 21 provides for the election by members
of the Centre of persons or organizations from amongst
themselves to be members of the Board.

Clause 22 provides for the creation and
functions of committees.
13. Clause 23 provides for the preparation and
approval of the Centre's annual programme of proposed
activities and estimates of income and expenditure.
Clause
24 relates to the accounts of the Centre, and clause 25
provides for the appointment of an auditor to audit the accounts.
14. Clause 26 requires the prescribed particulars to
be delivered to the Registrar of Companies for registration.
15. Clause 27 prohibits the unauthorized use of the
title of the Centre.

Clauses 28 and 29 respectively enable by-laws and
rules to be made for the better management of the Centre
and the carrying out of the provisions of the Bill.

Clause 30 provides for the continuation of the
rights and liabilities of the Centre established by the
repealed Hong Kong Arts Centre Ordinance and for other
necessary transitional provisions.

18. Clause 31 contains a saving of rights provision,
and clause 32 repeals the Hong Kong Arts Centre Ordinance
and revokes the Constitution of the Hong Kong Arts Centre.
19. This Bill has no Public Service staffing or public
