the formation of the Joint

Venture Company, as set out

in Annexes B, C, E, F and G

to

the memorandum, and the

purchase,

initially by

HKNIC and finally by CLP,

electricity from the

project but

with

the

proviso that in respect of

any

material

changes

(whether before or after

signature) to the various

documents

currently

envisaged, the Government's

prior written approval must

be obtained; and

(b) extend

to

CLP

the

assurances

set

out

in

paragraph 29

of

the

memorandum but,

in

the Council took particular

note of Articles 21 and 23

contract between
