controlled by TAN Soon-gin, also known as George Tan (herein-
after referred to as "George Tan" and his family.

CARRIAN Investments Limited (hereafter referred to
as "CII") is a public listed company incorporated in Hong Kong
and also having its registered office at 23rd floor Carrian
Centre, 151 Gloucester Road, Hong Kong.

STATIS
is a subsiduary of CHL and has a substantial
number of shareholders other than the owners of CHL.

THE dates of incorporation of CHL and of CIL and
the present directors and their respective dates of
appointment are stated in the document attached "RF1".

ON the 26th October 1982 the Directors of CIL
announced inter alia that their company was facing some
"short term liquidity problems"

ON the 5th November 1982 the Directors further
announced that Wardley Limited (hereafter referred to as
"Wardleys") who were then and still remain financial
advisers to CHL, had distributed confidential documentation
to creditors of CHL & CIL suggesting certain debt restructuring
proposals.
