(t) HTL now has and will at settlement have

good title to the land and buildings

commonly known as 81 Broadcast Drive Kowloon Tong Kowloon Hong Kong and

registered under New Kowloon Inland Lot No.5099 (the "Land") which will at

settlement be free of any charge,

encumbrance or option or any agreement capable of becoming a contract of sale and purchase of the Land.

(u)

The Crown Lease dated 25th November 1969 under which the Land is held by HTL is now and will at settlement be

good valid and subsisting. HTL has paid and shall have paid all Crown Rents and all other monies which shall then become due and payable, and has not received formal notice from any source of any breach or non-performance or non-observance of any of the terms and conditions contained and/or referred to in the said Lease or of any intended exercise of any right of re-entry or termination arising under the said Lease or otherwise howsoever

and that any breaches or

non-performance or non-observance of

the said terms and conditions are not of a material nature and remain capable of being remedied.

(v) The terms and conditions contained

and/or referred to in the said Crown Lease have not been and will not prior to settlement be modified by the Government in any way.
