We refer to the meeting last Saturday, 14th February, 1981 at your office between yourself, Messrs. Ronald Denny and Lloyd Thompson of the Rediffusion Organisation, and Mr. J.F. Payne of this office.

We confirm that we act for RTV and also RHK, which is the majority shareholder of RTV, and Rediffusion Limited of London, the holding company of RHK.

As requested, we write to confirm that an agreement has been reached in principle between RHK and a Hong Kong company presently known as Glasham Trading & Investment Limited ("Glasham") for the sale by RHK and the purchase by Glasham of that number of shares in RTV which equals a 61.2 % holding in the issued capital of RTV.

Glasham is wholly owned by three Australian companies named Henry Jones (IXL) Limited, David Syme & Co. Limited and CRA Limited. An Aide Memoire prepared by these three companies giving details of their background and other information considered relevant was prepared by them and was handed to you at our meeting, together with copies of the latest annual reports of the three companies.
