Both parties shall regularly confer to determine sales strategy, arrange
meetings with the Client or others, determine representation and the policy
to be adopted at such meetings.
Neither party shall, without specific prior written consent in each case,
create obligations or accept commitments on behalf of the other.
ARTICLE 6
Each party shall at all times, make available to the other such information
as each party may acquire regarding the Client or Client-related
organizations or such other information as may have a bearing on the format
and/or contents of the Proposal (s) to be submitted and/or the timing
such submission, or which may influence the sales strategy to be adopted.

ARTICLE 7
All information acquired by either party from the other shall be treated as
confidential by the recipient and shall not be disclosed to a
third party
nor used except as strictly necessary for the purposes of this Agreement,
without the prior consent in writing of the other, unless such information:
a) is, at the time of the disclosure, or thereafter becomes public
knowledge other than by reason of CEC's or FRAMATOME's breach of these
secrecy provisions, or
b)
is already in the possession of the recipient with the full right to
disclose prior to receiving it from the other party, or
