WHEREAS GEC and FRAMATOME wish to collaborate to obtain a Contract(s)

for the Project and desire to execute this Agreement to record and

define their relationship and respective rights and obligations prior to

the execution of such Contract(s).

WHEREAS the parties GEC and FRAMATOME have informed their respective

Governments and have obtained assurances that there is no objection on

their part regarding this Agreement

Now it is hereby mutually agreed and delcared as follows :

ARTICLE 1

to obtain from the

GEC and FRAMATOME will join their efforts in order

Client either a joint Contract for both the Nuclear and Conventional Island

or two separate Contracts for the Nuclear Island and the Conventional

Island for the Project. The parties shall collaborate in the preparation

of the detailed Scope of Supply for the Project identifying the supplies

and services for which each shall be responsible. The intention is that

under the Contract(s) with the Client

alternative (a)

FRAMATONF shall be responsible for the Nuclear Island and related services

and for the Fuel supply (Pranium enrichment and manufacturing) for the

first loads and for the re-loads specified in the Contract and CFC shall be

responsible for the Conventional Island and related services in the

(Contract(s) obtained for the Project.
