Mr. Bruce Baron

Wainfleet Enterprises Ltd. ("the Company")

We write in support of Mr. Baron's application for a visa to remain in Hong Kong in order to work as Managing Director for the Company of which together we are the sole beneficial

owners.

As you will be aware this is a recently incorporated Hong Kong Company which has not yet commenced business although Mr. Baron has for three months been very busy in setting it up in Hong Kong and making contacts with the manufacturing industry with whom we wish to deal with. He has also been engaged in arrang- ing for sample products to be produced for us.

We have appointed Mr. Baron as Managing Director of the Company and he will be running the business on our behalf in Hong Kong. To begin with we have arranged for him to receive a basic monthly retainer of US$500.00. This is no way intended to continue to be his basic renumeration and will be increased, when the Company begins to trade and earn some profits. It" is thus our intention that his basic renumeration will be reviewed regularly in the light of the growth of the Company. Moreover, Mr. Baron is to receive 10% of the total invoice amount of any orders placed by the Company with Hong Kong manufacturers.

We orginally approached Mr. Baron, who has been a long standing friend of both of us, in Hawaii requesting him to look after this new venture in Hong Kong as we were well aware of his close connection with Hong Kong and his first hand knowledge of its workings. He also has a working knowledge of the Cantanese language which will be of invaluable help to us. We have not had any previous experience in dealing with Hong Kong but are anxious to make use of the efficient Hong Kong manufacturing industry to produce PVC moving picture cards and badges for export. Not only does Mr. Baron have local Hong Kong knowledge and connections but he also knows the type of products we wish to manufacture in Hong Kong and the process used for this. Accordingly, he is the ideal choice for us and moreover can be trusted to look after our business venture in our best interests. Without a local person situated in Hong Kong who we can trust, we cannot possibly proceed with this venture as we are both too heavily involved with our commitments in Hawaii to be able to give the Company the necessary time and attention required to set up and run it in Hong Kong.

It was on the above basis that we requested, and Mr. Baron agreed, to go to Hong Kong for the purposes of arranging for the incorporation of the new Company and for the Company to commence business. Accordingly, we are most anxious that Mr. Baron be permitted to remain in Hong Kong as without him we will be unable to carry on the business.
