With regard to clause 1 (3) hereof, the parties bezeto

agree that, in order to assist in maintaining a proper

and efficient public omnibus service within the meaning

of section 12 of the Ordinance, 'KB will use its best

endeavours to ensure that its employees' terms and

conditions of employment are adequate to attract and

retain a sufficient number of competent drivers, mechanics,

managerial and other staff. Without prejudice to the

generality of the foregoing, KMB shall satisfy the

Commissioner from time to time in relation to the matters

set forth in the 5th Schedule hereto.

With regard to paragraph 1 (e) hereof, the parties

hereto agree that, in order to assist in maintaining a

proper and efficient public omnibus service for the

purpose of section 12 of the Ordinance, the management

structure of KMB requires ongoing review in conjunction

with the Commissioner as regards the matters set out in

the 6th Schedule hereto.

It is understood and agreed by the parties concerned that,

since passenger carrying capacity depends on the speed

at which the omnibuses in service can travel, the Commissioner

will use his best endeavours to persuade the Government to
