KEC/CLP providing joint management and operation of the facility during the period loans are outstanding.

KEC/CLP establishing a training programme to mutual benefit.

Though CLP would not be involved in any way in the responsibility of servicing outstanding International loans, they would offer their full co-operation and would provide the basic cover for these loans by undertaking to purchase electricity from the KEC on a long-term

contract.

The benefit to CLP would be the additional security provided by interconnection with the KEC's Grid distribution system, and the possibility of being able to purchase a part of the electricity they require at a cheaper rate than they (CLP) can produce it themselves.

21.

I envisage the Project Manager Company receiving its remuneration from those parties for whom it would be working, such remuneration to be calculated on a "cost plus incentive fee" basis.
