(2) At any meeting of the Board the Chairman or

in the absence of the Chairman such other member as the

members present may select shall preside.

(3) Every question arising at any meeting of the

Board shall be decided by a majority of votes of the

members present and voting thereon and in the event of

an equality of votes the member presiding shall have a

casting vote in addition to his ordinary vote.

(4) Subject to this Ordinance, arrangements

relating to meetings of the Board, and the procedure

thereat, shall be such as the Board may determine.

(5) If a member is in any way directly or

indirectly interested in a contract made or proposed

to be made by the Corporation -

(a) he shall disclose the nature of his interest

at a meeting of the Board;

(b) the disclosure shall be recorded in the

minutes of the Board; and

(c) the member shall not take any part in any

deliberation or decision of the Board with

respect to that contract.
