Louis B. Mayer Norma Shearer. and Mervyn LeRoy, the producer; are among the defendants named in a suit filed in the Chancery Court by three stockholders 111 Loew's Incorporated.

The complainants allege that the contracts "defraud the Corporaton and stockholders, illegally dissipate profits, are in effect and substance spoliation and waste of coT- porate assets and property." The bill charges Mr. Mayer with causing actors, actresses, directors. producers and other individuals who cbtained employment from Loew's "first to be represented by and obtain the services of one Orsatti as booking agent at a fee bf 10. per cent. of salary received by them." and that Mr. Mayer and J. Robert Rubin, another defendant, directly or indirectly owned or controlled this agency.

Last JulyLoew's Incorporated were among eight of the largest film companies named in the Gov- ernment's anti-trust suit filed in the New York Federal Court.

The Government alleged that the companies divided territories, pooled film stora. exchanged directors and forced independent exhibitors into signing inflexible contracts.
