ARTICLES OF ASSOCIATION TO BE

ALTERED.

The Hon. Mr. J. P. Braga presided at an extraordinary gon eral meeting of the Hong Kong Engineering and Construction Co., Ltd., which was held in the board room of Messrs. Shewan, Tomes and Co., yesterday when a proposal to alter the Articles of Association of the Company was unanimously carried after a somewhat lengthy discussion,

Supporting the chairman wore Messrs. J. Scott Harston, Lo Cheung Shui and L. Kadooris (direutors), A. It. F. Naven (gruer- al works manager) B. Alves (Becretary) and Mr. R. A. Wadeson. (rolicitor). Share holders present wore: Messrs. Choa Wing Hay, H. Braga, K. Stuart Smith, J. Gould, S. J. M. Figuerledo, C. P. Marques, M. H. Lo, M. K. Lo, J. V. Braga, A. M, Braga, F. L. Silva and Chan Kam Moon.

Addressing the gathering the ! Chairman said:-The Resolution which I have to put before you for- consideration and approval rends as follows:-

I have been concerned 11.5 a Director of Companies for nearly thinty years, and I think I can honestly claim that I have never received or sought to receive re- muneration as a Director which the circumstances in connection with || my services did not fully warrani— ' indeed I can go further and say that, in the case of many companies, I have done far more work than I have been paid for.

Having voiced my views as above, ¦ I shall, pursuant to my arrange- ment with Hon. Mr. Braga, re- train from voting against the Amendment, and I would add that in doing so, I am bearing in mind the fact that it was solely by reason of Mr. Braga's efforts that this Company was rescued from pardi- tion.

AMENDMENT WITHDRAWN. Replying, Mr. Gould said he did not wish to imply that the Direc tore' fees were unwarranted but as' the Company was just getting on its fect, he thought that the action was rather premature.

Following seme discussion, Mr. Braga said that he would like to bring three points to the notice of the meeting. The first was that in 1930 the Company wished to g into voluntary liquidation; the at cond point was that when the direc tors thought of a building scheme, some of them offered to give per- sonal security and the third point was the forfeiture of a substantial

The CHILDREN'S SPECIAL SERVICE MISSION intend to hold their activities here this year, starting on AUGUST 16 at REPULSE BAY, A SPECIAL BUS will leave the STAR FERRY at 3.30 p.m. every week day, returning from Repulse Bay at 7p.m. (rélurn fare 202.) The C.S.S.M. was started over 50 years ago for work among school boys & school girls of Great Britain and since then has spread to many other parts of the world. At this time of the year it is well-known at the seaside resorts of the English Coast.

A Children's Service will be held on the beach every day, and there will be bathing from the C.S.S.M.'s two tents, games, pienles, and an occasional excursion.
