STRAITS RUBBER AMAL

· GAMATION.

FOUR COMPANIES TO JOIN FORCES.

The Straits Times announce the proposed amalgamation of four loading rubber companies in Malaya, the conclusion of which will form one of the biggest com- bines of its kind in the country. The companies concerned are the Allenby Rubber Co., Ltd., the Bal gownie Rubber Estates, Ltd., Con- nemara, Ltd., and the Eundong Rubber Estate, Ltd., and the direc tors of each company have sub- mitted proposals for amalgamation to their shareholders. These are in similar terms, and it is sufficient to quote from that inued by Harri- son, Barker and Co., Ltd, as secretaries of the Kundong Estate.

The new company, it formed, will be called Connemara United, Ltd., and the "first directors will be Mr. Eric Macfadyen, Mr. R M. Kindersley and Mr. O. Ritchie.

It is pointed out that the Kun- dong_board has given its careful consideration to the question of amalgamation with other. panies and the proposals put for Ward about a year ago, which re ceived the strong support of share- holders, would have been carried into effect, had it not been consider: ed by the board desirable to with- draw them in view of the collapse in the rubber market following ob the unexpected decision to discon tinue the restriction scheme. The effect of that decision has been a fall-in values with the resulting

necessity for more competitive pro- duction, which has considerably amal- strengthened the case for gamation;

Conditionat Agreement; -- As a result of negotiations with the directors of Allenby Rubber Co., Ltd, the Balgownie Ruther Estates, Ltd.; and Connemara, Ltd., a conditional agreement has been entered into for the smal- gamation of the undertakings of the four companies. It is propos ed that the amalgamation will be effected by means of the formation

which will acquire the undertak of a new company in London to be called Connemara United, Ltd., ings of the four amalgamating com panies as on and from Janasry Lat, 1920. Valuations of estates of the four companies were made, on the joint instructions of the four boards, by Mr. J. A. Brown Jast December and the terms of the amalgamation are based on his valuations and the value of the liquid assets (over liabilities) of each company as on December 31st, 1928.

Mr. Brown's valuations based on the crops estimated by him for. the- seven years 1929-1835 and an an arbitrary selling price of 50 centă per lb. are as follows" after taking into account certain adjustments necessary za a result of survey and to cover special allowance for bud. grafted clearings belonging to Bal gownies

The situation is much Healthier, and although stocks in the United Kingdom warehouses at the end of the month are hikely to show a marked increase, the parity of Standard at £7 per ton below electro is, in itself, considered too wide.
