The report and statement of accounts for the year ending 1993 having been in your hands for the prescribed period, I propose with your permission to take them as read The nett profit for the year under review is $5,050., to which must be added the balance at Profit and Loss Account brought forward from 1994 of $918.96, making a total at credit of Proft and Loss Account of $3,269.38. This sum your Directors recommend should be ap- propriated as follows:-To pay a dividend of 4 cents per share on 18,105 shares, which will absorb $4,528.25 and to carry forward the balance of $743.32 to this year's account. I regret to state, Gentle men, that our profits show a decrease on the previous year, but with the abnormal condition of things in China, together with the very keen, competition prevail. ing, what other results can we expect? I think you will agree with me that despite these adverse circumstances we have had a satisfactory year, and I am sure I am only voicing the sentiment of the shareholders when I say that the staff have in an able manner looked after our interests, especially in such strenuous times, and I hope that with their con tinued co-operation and the early solution of the present situation, we shall have better results to place before you at the next annual meeting.
With these few remarks I have mach pleasure in proposing the adoption of the report and accounts as presented and after they have been seconded I shall be pleased to answer to the best of my ability any questions the shareholders may wish to ask.
Mr. PANG Kox Sci seconding the adop- tion of the report and accounts said: I am sure that the shareholders will agree with me that our Directors have done their best in the interests of the share holders during the past year which has been an unprecedented one.
The report and accounts were carried unanimously.

The confirmation of the appointment of Messrs. Kenneth Chan and Leung Yan Po to the Board of Directors fill the pinces of Mr. C. H. Lyson (deceased; and Mr. Lau Po Wing (retired) was proposed by Mr. C. Box and seconded by Mr. D.. KUMJARN, and was carried unanimously.
On the proposition of the CHAIRMAN, seconded by Mr. LEUNG TAY Po, Messrs. Lowe, Bingham & Matthews were re elected as auditors at a remineration of $750 per annum.
